All software, code, designs, interfaces, workflows, trademarks, logos, content, AI systems, documentation, and related intellectual property associated with Zolio are owned by or licensed to Zolio.

Except as expressly permitted under these Terms, you may not:

  • Reverse engineer
  • Create derivative works

from any part of the Services without prior written permission.

All rights not expressly granted are reserved.

7. User Content

You retain ownership of content, data, documents, files, and information submitted through the Services ("User Content").

By submitting User Content, you grant Zolio a limited, non-exclusive license to:

  • Process
  • Analyze
  • Transmit

such content solely for providing and improving the Services.

You represent that you have all necessary rights to submit the User Content and that such content does not violate any law or third-party rights.

8. AI-Generated Outputs

The Services may generate recommendations, reports, insights, content, predictions, or automated outputs using artificial intelligence technologies.

You acknowledge that:

  • AI-generated outputs may contain inaccuracies.
  • Outputs should be independently reviewed before business, legal, financial, or operational decisions are made.
  • Zolio does not guarantee the completeness, reliability, or suitability of AI-generated results.
  • You remain solely responsible for decisions made using AI-generated outputs.

9. Third-Party Services

The Services may integrate with or provide access to third-party software, websites, APIs, or platforms.

We do not control and are not responsible for:

  • Third-party services
  • Third-party content
  • Third-party policies
  • Third-party downtime or failures

Your use of third-party services is governed by their respective terms and policies.

10. Privacy and Data Protection

Your use of the Services is subject to our Privacy Policy.

You agree that Zolio may collect, process, and store information as necessary to provide the Services and comply with legal obligations.

Where applicable, both parties agree to comply with relevant data protection and privacy laws.

11. Service Availability

We strive to provide reliable Services but do not guarantee uninterrupted availability.

The Services may experience:

  • Third-party outages

We are not liable for losses arising from service interruptions beyond our reasonable control.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZOLIO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING:

  • NON-INFRINGEMENT
  • ACCURACY
  • RELIABILITY
  • AVAILABILITY

WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

ZOLIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO ZOLIO DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to defend, indemnify, and hold harmless Zolio and its officers, employees, affiliates, contractors, and partners from any claims, damages, losses, liabilities, costs, or expenses arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your User Content
  • Your violation of applicable laws
  • Your infringement of third-party rights

15. Suspension and Termination

We may suspend or terminate your access immediately if:

  • You violate these Terms.
  • You engage in fraudulent activity.
  • Your use creates security risks.
  • Required payments remain overdue.

Upon termination:

  • Your access rights immediately cease.
  • Certain provisions of these Terms survive termination.
  • We may retain information where legally required.

16. Changes to the Services and Terms

We may modify the Services or these Terms at any time.

Material changes will be communicated through the website, email, or other reasonable means.

Continued use after such changes constitutes acceptance of the revised Terms.

17. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of India, without regard to conflict-of-law principles.

18. Dispute Resolution

Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiations.

If resolution cannot be reached, disputes shall be subject to the exclusive jurisdiction of the courts located in Kochi, Kerala, India.

Electronic communications shall satisfy any legal requirement that such communications be in writing.

20. Miscellaneous

  • These Terms constitute the entire agreement between you and Zolio regarding the Services.
  • If any provision is deemed unenforceable, the remaining provisions shall remain in full force and effect.
  • Failure to enforce any provision shall not constitute a waiver of that provision.
  • You may not assign your rights under these Terms without our written consent.
